Terms of Service

Komo provides an AI-powered operations platform that enables enterprises to automate workflows, deploy AI agents, and streamline business processes. The Service may include AI agents that perform tasks such as data analysis, document processing, workflow automation, and integration with third-party systems on your behalf.

Komo may update, modify, or discontinue features of the Service at any time. We will use reasonable efforts to provide advance notice of material changes that may affect your use of the Service.

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@komo.ai if you become aware of any unauthorized use of your account.

You must be at least 18 years of age to create an account and use the Service. The Service is intended for business use and is not directed at consumers or children.

Access to the Service requires a paid subscription unless otherwise agreed in writing. Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase. All fees are non-refundable except as required by applicable law or as otherwise specified in your subscription agreement.

We reserve the right to modify our pricing with reasonable prior notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

You are responsible for providing a valid payment method and ensuring that all billing information is accurate. Failure to pay may result in suspension or termination of your access to the Service.

You retain all rights, title, and interest in any data, content, or materials that you submit, upload, or otherwise make available through the Service ("Customer Data"). You grant Komo a limited, non-exclusive license to use, process, and store Customer Data solely to provide and improve the Service.

You are responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it. You represent and warrant that you have all necessary rights and consents to provide Customer Data to Komo and to authorize its processing as described in these Terms and our Privacy Policy.

Upon termination of your account, you may request export of your Customer Data within 30 days. After this period, we may delete your Customer Data in accordance with our data retention policies.

The Service utilizes artificial intelligence and machine learning models to generate outputs, recommendations, and automated actions ("AI Outputs"). You acknowledge and agree that:

• AI Outputs are generated algorithmically and may contain errors, inaccuracies, or incomplete information. You are responsible for reviewing and validating AI Outputs before relying on them for business decisions.
• Komo does not guarantee the accuracy, completeness, reliability, or fitness for a particular purpose of any AI Outputs.
• Komo does not use your Customer Data to train general-purpose AI models. Customer Data is processed solely to provide the Service to you.
• You are solely responsible for any decisions or actions taken based on AI Outputs.

You agree not to use the Service to:

• violate any applicable law, regulation, or third-party rights;
• upload or transmit any malicious code, viruses, or harmful content;
• attempt to gain unauthorized access to the Service, other accounts, or related systems or networks;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
• use the Service to develop a competing product or service;
• scrape, crawl, or use automated means to access the Service beyond the APIs and interfaces we provide;
• interfere with or disrupt the integrity or performance of the Service;
• use the Service to generate content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
• circumvent any usage limits, rate limits, or access controls imposed by Komo;
• sublicense, resell, or redistribute the Service without our prior written consent.

Violation of these restrictions may result in immediate suspension or termination of your account.

The Service, including all software, algorithms, models, documentation, user interfaces, designs, and content provided by Komo (collectively, "Komo Materials"), are the exclusive property of Komo and its licensors. These materials are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during your subscription term solely for your internal business purposes.

You may not copy, modify, distribute, sell, or lease any part of the Service or Komo Materials, nor may you reverse engineer or attempt to extract the source code of the Service, except as permitted by applicable law.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service ("Confidential Information"). Confidential Information does not include information that is publicly available, already known to the receiving party, independently developed, or rightfully received from a third party without restriction.

Each party will protect the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

The Service may integrate with or provide access to third-party applications, services, or APIs ("Third-Party Services"). Your use of Third-Party Services is subject to the terms and privacy policies of those third parties. Komo is not responsible for the availability, accuracy, or functionality of Third-Party Services, and we make no representations or warranties regarding them.

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with advance notice where practicable. We are not liable for any downtime, delays, or service interruptions resulting from factors beyond our reasonable control, including internet connectivity issues, third-party service outages, or force majeure events.

Either party may terminate these Terms by providing written notice in accordance with the applicable subscription agreement. Komo may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees when due, or if required by law.

Upon termination, your right to access and use the Service will cease immediately. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law will survive termination.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Komo specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Komo does not warrant that the Service will be uninterrupted, error-free, secure, or that AI Outputs will be accurate or reliable.

To the maximum extent permitted by applicable law, in no event shall Komo or its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service.

Komo's total aggregate liability arising out of or related to these Terms shall not exceed the amounts paid by you to Komo during the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

You agree to indemnify, defend, and hold harmless Komo and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York, and each party consents to the personal jurisdiction of such courts.

These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Komo regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Komo may assign these Terms without restriction. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Komo.
